Structuring Transactions & Minimizing Tax: Every commercial transaction requires a careful analysis of the risks involved, the right business structure, and the proper planning. Levine Staller works with business clients to properly arrange and match the financial, tax, and employment requirements to the client’s objectives of the matter.

Tax-Free Exchanges: Levine Staller assists clients in structuring tax-free exchanges of business and investment property. So long as it is properly structured, the “like-kind exchange” provisions contained in Section 1031 of the Internal Revenue Code allows businesses and individual investors to defer gained recognition on the disposition of eligible property. Under Section 1031, property used in a trade or business, or held for investment, can be exchanged tax-free for property of “like kind” that will also be used in the trade or business, or be held for investment. The successful implementation of these transactions requires high levels of experience, knowledge, and technical tax skills.

Asset Sales, Mergers, and Acquisitions: Levine Staller has experience in asset and stock sales, mergers, acquisitions and dispositions of assets and limited liability, partnership and corporate interests, and many other similar types of transactions. Levine Staller assists with determining the proper transaction structure, the negotiation of the transaction documents, and the preparation of all transaction documents to consummate the transaction and handle closings. If the transaction requires the formation of a new business entity, Levine Staller counsels clients on all aspects of organizing a new company, including all viable business structures, preparation of buy-sell, voting, and other agreements to be entered into among the owners. Levine Staller also prepares employment agreements and other employee incentive arrangements related thereto.
